Payment and consignment of squeeze out price. Sanofi-Aventis Europe is now 100% shareholder of Zentiva NV
Prague, March 22, 2010 – Sanofi-aventis (EURONEXT: SAN and NYSE: SNY)
On 23 February 2010, the Amsterdam Court of Appeal ordered all minority shareholders to transfer their shares in Zentiva N.V. to Sanofi-Aventis Europe S.A.S. The court set the price at the equivalent in euro of CZK 1,150 per share (being EUR 44.57) plus interest from 23 February 2010 until 18 March 2010.
All minority shareholders were invited to voluntarily transfer their shares to Sanofi-Aventis Europe S.A.S. before 18 March 2010, 10:00 a.m. On 18 March 2010, Sanofi-Aventis Europe S.A.S. paid the price plus interest for all shares that were voluntarily transferred to Sanofi-Aventis Europe S.A.S. to these shareholders. On the same date, Sanofi-Aventis Europe S.A.S. paid the price plus interest for all the remaining shares into consignment with the Dutch consignment office (a body of the Ministry of Finance). As a result, title to all these remaining shares passed to Sanofi-Aventis Europe S.A.S. by operation of law.
The shareholders that were entitled to these shares immediately before consignment but did not voluntarily transfer their shares before 18 March 2010 10:00 a.m. are entitled to collect the price plus interest (being EUR 44.57 plus EUR 0.08 interest per share) from the consignment office. Any amounts that are not claimed within 20 years are forfeited to the Dutch State.
As of 18 March 2010 Sanofi-Aventis Europe S.A.S. is 100% shareholder of Zentiva N.V.
